Coda unveils unified leadership team after Recharge deal

Tue, 9th Dec 2025

Coda has set out a new executive leadership team and board after completing its acquisition of Recharge, one of Europe's largest prepaid payments providers.

The move brings the two businesses under the single Coda brand. The group now runs a portfolio that spans payments infrastructure, consumer storefronts, and digital content monetisation and distribution.

Recharge's consumer brands will remain in the market. These brands include Recharge.com, Startselect and the digital rewards platform Giftcloud. Coda will manage them as part of its global portfolio.

The combined company is headquartered in Singapore. It operates across Asia, Europe and other regions through both business-facing and consumer-facing products.

Unified structure

Coda has framed the leadership reset as a step in its integration of Recharge. The company said the new structure sets a single management team across its payments and content businesses.

Shane Happach remains Chief Executive Officer of the combined organisation. He led Coda before the Recharge deal and now oversees the enlarged group.

The company has created an executive role focused on its direct-to-consumer operations. Former Recharge Chief Commercial Officer Fabian Spaargaren becomes Executive Vice President B2C.

Recharge's former Chief Operating Officer, Martine Tiemersma, now serves as Coda's Chief Operating Officer. She is responsible for day-to-day operations across the integrated business.

The rest of the executive team draws largely from Coda's existing leadership. Zac Liew takes the role of Chief Commercial Officer B2B. He focuses on relationships with publishers and brands.

Mike Feldkamp becomes Chief Technology Officer and oversees the group's technology strategy. Abhi Sharma is Chief Financial Officer with responsibility for financial management.

Linda Lee serves as SVP People. She leads human resources and people-related initiatives. Liz Adam is VP Corporate Affairs and handles communications and corporate relations.

The company said the group's leaders bring experience across payments, consumer platforms, technology, commercial strategy and international expansion.

Board reshaped

Coda has also reshaped its board. Michael Kent joins as Chairman after serving as Chairman of Recharge's board.

Former Recharge Chief Executive Günther Vogelpoel will step back from operational duties. He will join the Coda board as a Non-Executive Director at the end of the year.

Existing investors keep representation at board level. The board continues to include members from Apis Partners, GIC, Insight Partners and Smash Capital.

Coda said the new board mix combines continuity for Recharge with oversight from long-standing Coda shareholders.

B2B and B2C mix

The combined group runs a mix of business and consumer services. Its B2B products give publishers and brands access to payments options and distribution channels in multiple markets.

Codapay offers direct payment methods through a single API integration on publishers' websites. Codashop is a consumer marketplace for in-game purchases and other digital content.

The company also runs a Custom Commerce product for branded web stores. Its distribution arm works with third-party commerce partners that sell digital products.

Recharge adds a European prepaid payments network and established consumer sites. These include top-ups for mobile, entertainment and gaming products.

Coda said the combination of B2B tools and consumer storefronts gives the group a single growth engine. It said the structure supports customer reach, loyalty and long-term revenue generation.

Future of digital commerce

Coda positions itself as a specialist in digital content monetisation and distribution. It works with more than 300 publishers and brands, including major games companies.

The company focuses on cross-border digital payments and localised checkout experiences. It aims to link consumers, payment methods and digital products in both emerging and developed markets.

The leadership changes follow a period of growth recognition for Coda. It has appeared in regional rankings of fast-growing fintech and technology firms.

Happach said the integration of teams from Coda and Recharge broadens the group's reach. He said the change also deepens its expertise across digital commerce.

"This marks an exciting new chapter for Coda. Bringing our teams and capabilities together gives us a stronger foundation and a wider horizon. We now operate with more scale, deeper expertise, and a shared focus on powering the future of digital commerce. Our mission has always been to make digital products easy to access, safe to buy, and rewarding to sell. Today, we accelerate that goal with an even sharper focus. I'm proud of what we've achieved across the business and confident we have the right leadership and people to take Coda to the next level," said Shane Happach, Chief Executive Officer, Coda.

Kent said the new structure establishes continuity between the two companies after the acquisition.

"I have worked closely with Recharge through a period of strong growth, and joining Coda as Chairman creates a clear line of continuity as we move forward as one company. Coda is now the home for the combined strengths of both businesses. The unified platform, capabilities, and leadership team give the company everything it needs to shape the future of digital commerce. I am proud to support Coda in this next phase of growth," said Kent.

Coda said it will now focus on expanding its reach and strengthening the infrastructure that underpins how digital content is bought, sold and experienced worldwide.
